Executive Council Resolution No. (1) of 2012 On Internal Regulation of Executive Council of Ras Al Khaimah Emirate We, MOHAMMED BIN SAUD AL QASIMI, Crown Prince of Ras AL Khaimah and Chairman of Executive Council, After Perusal of Civil Service Law of 2003 and laws amending the same, Law No. (7) of 2012 on Establishment of Executive Council of Ras Al Khaimah Emirate, and by virtue of Articles Nos. (13) and (14) of the Law, and Upon the approval of Executive Council at its second meeting held on 08/10/2012 resolved the following: Article (1) In implementation of this resolution provisions, the following words and phrases shall have the meanings assigned hereto, unless otherwise is required by context: State: United Arab Emirates. Emirate: Emirate of Ras Al Khaimah. Ruler: His Highness Ruler of Ras Al Khaimah. Government: Government of Ras Al Khaimah. Council: The Executive Council of Ras Al Khaimah Emirate. Chairman: Chairman of the Executive Council. Departments: Include official departments and authorities of the local government. Secretary General: Secretary General of the Executive Council. Majority: means simple majority (half + 1 of number of members of the Council or committees emanating from the same. Article (2) The Council is the supreme executive authority in the Emirate, which exercises its powers in accordance with the law of its establishment, under the supreme control of the Ruler, in order to maintain security and order, provide public utilities, and raise the social and economic level of society members. Article (3) The council shall be constituted from a chairman and number of members appointed by an Emiri decree that determines their number and capacities. However, the ruler may, under a resolution from him, based on a recommendation from the Council, appoint one or more vice-chairmen. The council shall have the right to establish whatever offices and committees it deems appropriate. Article (4) 1-The Chairman of Executive Council shall preside over its sessions, call the same to convene, manage discussions thereof and follow up the activity of departments. Moreover, he shall supervise the coordination of work between them, on one hand and the competent federal authorities on the other hand, and shall issue the instructions, resolutions, and circulars necessary in this regard. 2-The Chairman shall present the outcomes of the Executive Council works to the Ruler and sign in the name of the Council and on its behalf the resolutions rendered thereby. 3. In the absence of the Chairman, his deputy, if any, shall preside over and manage the sessions of the Council. Article (5) 1-The Chairman, members of the Council and other presidents and directors general of departments and the like shall be responsible before the Ruler for the performance of their duties and the exercise of their powers. 2. Leaves of the presidents and directors general of departments and the like shall be under the permission of the Chairman of Council. The Chairman shall render a resolution assigning the person who will performs the duties of department president or director general on leave. Article (6) The Council shall have a general secretariat headed by a secretary general whose grade is not less than the grade of a director general and the same shall be appointed under an Emiri Decree upon a recommendation from the Council. Such Secretary General shall be accountable before the Chairman and be assisted in the course of carrying out the duties entrusted thereto by number of competent employees. Article (7) The General Secretariat is the administrative body entrusted with conducting the business of the Council including preparation, arrangement, presentation, implementation and follow-up. The General Secretariat, in coordination with the state's agencies and the Emirate, may perform the following: 1- Conduct studies and research that reflect the strategic objectives of the Emirate, its future aspirations and needs, provide advice to the Council and communicate the directives issued thereon to the relevant departments and authorities. 2- Study the topics that the Council orders to be studied and follow up the implementation of the instructions issued thereon. 3- Study draft laws, regulations, other legislation and agreements before presenting the same to the Council. 4- Receive correspondence and complaints submitted to the Council, organize their presentation and communicate the directives issued thereon to the concerned authorities. Article (8) The secretariat general shall have an independent legal personality, enjoy financial and administrative independence and have the full capacity to carry out legal acts including opening, managing, running and closing one or more accounts with one or more banks operating in the State. Therefore, the Chairman of the Council shall determine the authorized signatories and the limits of their powers. Article (9) The employees of the Secretariat General shall be subject to the provisions of the statutes approved by the Council and pending the approval of such statutes, the applicable laws and regulations of the civil service and the civil retirement pensions and gratuities in force in the Emirate shall apply to those employees. Article (10) The financial resources of the General Secretariat of the Council shall consist of the budget approved by the Council. Article (11) The Secretary-General is the head of the administrative body concerned with conducting work of the General Secretariat and shall exercises the following competences: 1- Develop the general policy of the General Secretariat, supervise its implementation and submit periodic reports to the Chairman on the work progress of the Council. 2- Propose the financial and administrative system of the General Secretariat and approve the same by the Chairman of the Council. 3- Prepare the general budget of the General Secretariat and presenting the same to the Council to be discussed and approved. 4- Prepare the organizational structure of the General Secretariat and present the same to the Council to be discussed and approved. 5- Prepare and execute the Chairman's call to the meeting of the Council and its agenda, supervise the organization of its meetings, control its minutes and maintain its documents and records. 6- Coordinate with the Office of the Government Legal Advisor to present draft laws, regulations and other legislation to the Council for discussion. 7- Communicate with the media about the activities and resolutions of the Council and list what is published in the newspapers, which prejudices the work of the government agencies, present the same to the Chairman for guidance, submit a memo of the action taken and present it to the Council at the first subsequent meeting. 8- Supervise the work progress in the General Secretariat and issue instructions and directives regulating the same. 9- Supervise the preparation of the annual report on the achievements of the Council in coordination with the concerned departments. 10- Any other competences assigned by the Council or the Chairman to the Secretary-General. Article (12) The management of the meetings shall be entrusted to the Chairman, who shall call for the meeting and manage its discussions in accordance with the provisions of this regulation. However, he may suspend or adjourn the meeting if necessary. The meetings shall be closed ones unless the Council resolved otherwise. Therefore, only members of the Council, Secretary-General, Legal Adviser of the Council or anyone acting on behalf of the last two may appear in such meetings. However, the Council may call any of the advisors, experts and other officials, as it deems appropriate, to provide clarifications requested from them. Article (13) The Council shall convene an ordinary meeting once a month. However, the Chairman of the Council may, when necessary, resolve otherwise. The council may be called for an extraordinary meeting at the request of the Ruler or the Chairman. The meetings of the Council shall be valid by the appearance of majority of its members and its resolutions shall be passed by the approval of a majority of attendees. In the event of a tie, the party which the Chairman of the session joined, shall prevail. Each member shall have one vote, even if he presides more than one department and the minority shall abide by the opinion of the majority. No member may fail to appear in the meeting except by consent from the Chairman. If he is unable to do so, he should notify the Secretariat General of his apology for not appearing. Article (14) The Chairman shall declare the opening of the meeting if majority of members are present. However, in the absence of quorum on time specified, the chairman may delay the opening of the session for an hour. If no quorum is complete, then the Chairman shall declare the adjournment of the meeting to the date he determines. Article (15) After the opening of the session, the Secretary-General or his representative for this purpose shall read out the names of members apologized for not appearing and those who are absent. Then, members shall review the minutes of the previous meeting to ratify the same and the Secretary-General shall inform the Council of the received correspondence and papers related to the work of the Council. The President may then present topics of an urgent nature before involving into the topics listed in the agenda of the meeting. Article (16) A member or whoever is authorized to appear in the meeting may only speak by a permission from the Chairman. No body may interrupt the member speaking, and the speech and interventions shall be related to the subject under consideration. However, the Chairman may draw attention to the need for observing the provisions of the law and regulations. Article (17) Subject to provisions of Article (15) of this Regulation, the Council shall, in the ordinary meeting, discuss the topics listed in its agenda in their order, unless otherwise is resolved. At its extraordinary meeting, the Council shall consider only the subject for which the call has been made. Article (18) Further works mean matters that arise after the preparation of the agenda which cannot be postponed to a future meeting. Article (19) 1. A minutes shall be made for each meeting to record in details all its procedures, the topics presented therein, the discussions made and the resolutions and recommendations rendered. Subject to the provisions of Article (16) of this Regulation, a member may dictate what he wants to speak about to be recorded in the form produced thereby. 2- The General Secretariat shall deliver a copy of the minutes to the members sufficiently in advance of the next meeting to make their comments, if any. 3- The General Secretariat may, upon the approval of the Chairman, use technical devices to record the minutes of the meetings. Article (20) A member may request to make the correction he deems necessary when presenting the minutes for ratification. If the Council approves the correction, the same shall be recorded in the minutes of the relevant meeting and the correction shall be made accordingly. Article (21) The Chairman may order to delete any phrases he deems contrary to the provisions of the law and regulations. In case of objection to the same, the matter shall be presented to the Council for discussion. Article (22) The minutes shall be signed by the Chairman and the Secretary-General after being ratified and shall be filed in the records of the Secretariat General. Article (23) If the member is repeatedly absent from the meetings of the Council or committees without an acceptable excuse three consecutive times, the matter shall be raised to the Ruler to take decision thereon. Article (24) The Secretariat General shall, after each meeting, under the approval of the Chairman, prepare a summary minutes of the topics considered by the Council and the resolutions it takes in order to be accessible to the authorized Media. Article (25) The Council may form permanent or temporary committees to carry out certain tasks or to study a specific topic for which a time limit is determined for the committee to complete the work entrusted thereto within it. However, the Council may develop for each committee such provisions as it deems appropriate for its procedures or assign thereto one or more of its terms of reference or any other work in accordance with the resolution rendered for its formation. The council shall appoint a Head for each committee it forms to be responsible for its works before the Council and its Chairman. The Committee shall select a rapporteur among its members. The Committee may seek the assistance of one or more officials or experts for its purposes, who shall have no counted vote in taking decisions thereof and this shall be made under the approval of the Chairman. Article (26) The meetings of the committees shall be convened in the presence of a majority of their members and their resolutions shall be rendered by a majority of the votes of those present. Minutes of the meeting shall be made to summarize the discussions and record the resolutions. The same shall be signed by the Head and Rapporteur of the Committee and a copy of the minutes shall be filed in the records of the Secretariat General and the Council shall be reported of the same. Therefore, each member of the Council shall have the right to access the minutes of meetings of the committees. Article (27) The Committee shall convene at a call from its Head, and it may be convened at the directive of the Chairman of the Council. It shall also be called to convene if requested by a majority of its members. Article (28) 1- All suggestions, complaints and grievances submitted to the Council must be in Arabic or accompanied by a correct translation into Arabic and signed by applicants thereof, on which full name, address, telephone and contact numbers are mentioned. It is required that the same is free of any inappropriate phrases, otherwise the Chairman shall order to be omitted. 2- The chairman shall refer the suggestions, complaints and grievances received by the Council to the competent authority for comment and the Council shall be informed of the same at the first following meeting. The Council and any of its committees may request clarifications and explanations required by the subject matter of the suggestion, complaint or grievance from the competent authorities. These authorities shall be obliged to respond to the same within no more than one week. The Council may render its appropriate resolution on the subject after completing the data or before that if the circumstances of the subject dictate such thing or if the subject is valid for a resolution to be rendered thereon. Article (29) The Council may only interfere in the business of the judicial or legislative authorities in accordance with the provisions of the law. Article (30) The Legal Advisor of the Government of Ras Al Khaimah or the Legal Department of Ruler's Court, if any, shall express the legal opinion on the matters referred to him / her from the Council and its committees. Therefore, the Legal Advisor of the Government or whomever he / she delegates in his / her office shall be called to appear in the meetings of the Council and its committees, as well as conduct investigations into violations and matters referred thereto by the Council or the Chairman which require investigation thereon. Article (31) Every provision of any legislation inconsistent with the provisions of this regulation shall be repealed to the extent that removes such inconsistency. Article (32) This resolution regarding the internal regulation of the Council shall come into force as of date of its promulgation and to be published in the Official Gazette.   • This resolution regarding the internal regulation of the Council shall come into force as of date of its promulgation and to be published in the Official Gazette.
